Terms and Conditions
For NPP private corporate and individual members

You are registering for membership with National Purchasing Partners, LLC (“NPP,” “we,” “us,” or “our”). NPP gives organizations and their employees access to supplier contracts and programs. Membership is free and carries no purchasing obligation. These Terms and Conditions (the “Terms”) govern your use of NPP’s websites, membership and related services, including services provided by NPP’s designated administrators (together, the “Services”). By registering or using the Services, you accept these Terms. If you register on behalf of an organization, you represent that you are authorized to accept these Terms for that organization, and “you” includes that organization.
1. Privacy and Use of Member Information
NPP’s Privacy Policy explains how we collect, use and share personal information, and it is part of these Terms. By using the Services, you acknowledge that NPP may use the information you provide, as described in the Privacy Policy, to:
- administer your membership and the supplier programs you join;
- share your contact information with supplier partners whose programs you click through to, express interest in, or enroll in, and, subject to your preferences, with other selected supplier partners;
- communicate with you about NPP and supplier programs; and
- advertise NPP and supplier programs on our websites and on third-party platforms such as Google and LinkedIn, including by using hashed member contact information to exclude, measure, find similar audiences for, and show ads to members.
If you joined NPP before the Effective Date, NPP will use contact information collected from you before that date for these advertising purposes only on the schedule, and subject to the conditions, described in Section 5 of the Privacy Policy.
You may change your communication, supplier-sharing and advertising preferences at any time under “MY ACCOUNT,” through the “Do Not Sell or Share My Personal Information” / “Your Privacy Choices” link on our websites, or by contacting Member Support, as described in the Privacy Policy.
2. Member Information You Provide
You agree to provide accurate and current information and to keep it up to date. If you provide information about other individuals at your organization, such as employees who will use supplier programs, you represent that you are authorized to provide that information and to have it used as described in the Privacy Policy.
3. Communications
By registering, you agree that NPP may contact you at the business email address, phone number and mailing address you provide about your membership, the Services, and NPP and supplier programs. You may opt out of marketing communications at any time as described in the Privacy Policy. Even if you opt out, we may still send non-marketing messages about your membership. You agree that notices and other communications we send electronically satisfy any legal requirement that they be in writing. We send text messages only if you opt in under Section 4.
4. Text Messaging Program
If you check the box to opt in to text messages, you agree to receive recurring automated and manual marketing and informational text messages from NPP at the mobile number you provide, including follow-ups from NPP account representatives, automated notifications about relevant supplier offers and savings based on your activity on our websites, and messages about events, reminders and your account. Consent is not a condition of membership or of any purchase. We ask for it separately from your acceptance of these Terms. Message frequency varies. Message and data rates may apply. Reply STOP to cancel at any time; you will receive one message confirming your opt-out. Reply HELP for help or contact customerservice@mynpp.com or 800.810.3909. Carriers are not liable for delayed or undelivered messages. You represent that you are the subscriber or customary user of the mobile number you provide, and you agree to notify us if you give up that number. Text messaging is also subject to the Privacy Policy.
5. Supplier Programs
Supplier offers are made available through NPP but are provided by the suppliers themselves. Your purchases are governed by your organization’s agreement with the supplier, including the supplier’s eligibility requirements, pricing and terms. Suppliers may change or withdraw offers at any time without notice. You authorize suppliers to provide NPP with information about your participation in their programs, such as enrollment status, member ID and purchase volume, so that NPP can verify eligibility, track and report administrative fees, and support the program. NPP will use that information as described in the Privacy Policy and as permitted by its agreements with the suppliers. NPP does not guarantee the accuracy or completeness of supplier offers and is not responsible for supplier products or services.
6. Your Account
You are responsible for keeping your account number and password confidential and secure, and for all activity under your account, whether or not you authorized it. Please notify Member Support promptly of any unauthorized use. NPP may refuse service, suspend or terminate memberships, or remove or edit content at its discretion, including for any violation of these Terms. To investigate complaints and keep the Services responsive to your needs, you agree that NPP employees may access your account and records as needed. NPP will not disclose such an investigation unless required by law. You may end your membership at any time by contacting Member Support.
7. Trademarks
NPP and its graphics, logos, page headers, button icons, scripts and service names are trademarks or trade dress of NPP. They may not be used in connection with any product or service not provided or authorized in writing by NPP, in any manner likely to cause confusion among members, or in any manner that disparages or discredits NPP. All other trademarks appearing on our websites belong to their respective owners, who may or may not be affiliated with, connected to, or sponsored by NPP.
8. Third-Party Sites and Resources
Our websites and suppliers may provide links to third-party websites and resources. NPP does not control them and is not responsible for their availability, content, advertising, products, privacy practices or other materials. NPP is not responsible or liable for any loss or damage caused by your use of or reliance on any third-party content, goods or services.
9. Disclaimer
Information on our websites is provided for general informational purposes only. It is not legal, tax or other professional advice and does not create an attorney-client or other professional relationship. THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, TO THE FULLEST EXTENT PERMITTED BY LAW.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT WILL NPP OR ITS OFFICERS, EMPLOYEES, DIRECTORS, MEMBERS, MANAGERS, PARENTS, SUBSIDIARIES, AFFILIATES, AGENTS OR LICENSORS BE LIABLE UNDER ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STATUTORY OR OTHERWISE) FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF REVENUES, PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING FROM USE OF THE SERVICES. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO SOME OF THEM MAY NOT APPLY TO YOU. WHERE NPP MAY NOT DISCLAIM AN IMPLIED WARRANTY OR LIMIT ITS LIABILITY AS A MATTER OF LAW, THE SCOPE AND DURATION OF THE WARRANTY AND THE EXTENT OF NPP’S LIABILITY SHALL BE THE MINIMUM PERMITTED BY LAW.
11. Indemnification
You agree to indemnify, defend and hold harmless NPP and its affiliates, officers, directors, volunteers, employees, consultants and agents from all third-party claims, liabilities, damages and costs (including reasonable attorneys’ fees) arising from your use of the Services, your violation of these Terms, or infringement by you or any user of your account of any intellectual property or other right of any person or entity. This obligation does not apply to the extent a claim is caused by NPP or its affiliates, officers, directors, employees, consultants or agents, in which case NPP will indemnify, defend and hold harmless you and your affiliates, officers, directors, employees, consultants and agents to the same extent. These Terms benefit NPP’s successors, assigns and licensees.
12. Applicable Law and Venue
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules or your state or country of residence. Any action arising from these Terms or the Services shall be brought in the state or federal courts located in King County, Washington, and you consent to their jurisdiction.
13. Changes to These Terms
NPP may change its websites, Services and policies, including these Terms, at any time. We will post the updated Terms on this page with a new “Last Updated” date and, for material changes, will provide notice on our websites or by email before the change takes effect. Your continued use of the Services after the effective date of a change means you accept the updated Terms.
14. Members Who Joined Before the Effective Date
If you became a member before the Effective Date, these Terms apply to your membership on the earlier of (a) the date you accept them, including by checking the acceptance box when you next sign in, or (b) [Member Data Date, e.g., November 23, 2026], which is at least 30 days after we emailed you notice of these Terms, if you continue to use the Services after that date. 15. Severability and Entire Agreement
If any provision of these Terms is found invalid, void or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect. These Terms and the Privacy Policy are the entire agreement between you and NPP regarding the Services and supersede any prior versions.
